1. What is the Demerger? As announced on 20 February 2026, Ramsay is proposing to distribute all of its 52.79% shareholding in Ramsay Santé to Ramsay Shareholders on a pro rata basis, by way of an in-specie distribution implemented through a scheme of arrangement. If the Demerger is approved and implemented, in general, Ramsay Shareholders will hold separate investments Ramsay Santé. The Demerger does not affect or change the number of Ramsay shares held by Ramsay Shareholders.
2. Why is the Ramsay Board proposing the Demerger? Following a comprehensive strategic review, including market testing of potential alternatives, the Ramsay Board believes the Demerger would recognise the different geographic focuses, strategies and capital profiles of Ramsay and Ramsay Santé, and allows each company to pursue a more focused strategy and, over time, [allows Ramsay to deliver greater value to Ramsay Shareholders than the current structure.
3. When will I receive the Demerger Booklet?

The Demerger Booklet is expected to be released to the ASX and sent to shareholders in October 2026.

The Demerger Booklet will contain additional important information regarding the Demerger, including information about entitlements, tax implications, voting and asking questions.
4. How will I receive the Demerger Booklet?

You will receive the Demerger Booklet in accordance with your communication preferences, that have been nominated with Boardroom (Ramsay’s share registry). For shareholders who have elected to receive Ramsay communications in hard copy, mailing will commence in October 2026. Shareholders who have elected to receive Ramsay communications electronically will receive the materials via email.

5. What do I need to do?

Currently, Shareholders are not required to take any action at this stage in relation to the Demerger. The Demerger Booklet will contain information about actions required from shareholders.

6. What happens to my existing Ramsay Shares?

The number of Ramsay Shares you hold is not affected by the Demerger.

If the Demerger is approved by Ramsay Shareholders, then, generally, you will be allocated a separate interest in Ramsay Santé (in addition to your existing Ramsay shareholding). This interest will be held by either shares or CDIs in Ramsay Santé.

7. When will the Demerger take place?

The indicative timetable for the Demerger is below:

  • Publication of Demerger Booklet: October 2026
  • Ramsay’s shareholder meeting to vote on the Demerger: 24 November 2026
  • Expected completion of the Demerger: December 2026

8. What will I receive if the Demerger is successful?

If the Demerger is implemented, Ramsay shareholders would generally receive shares (or CDIs) in Ramsay Santé proportional to their Ramsay shareholding by way of an in-specie distribution.

As Ramsay Santé is listed on the Euronext and not listed the ASX, Ramsay is assisting Ramsay Santé to put in place arrangements so that Ramsay shareholders may hold their interest in Ramsay Santé, through CHESS Depository Interests (CDIs), which would be tradeable on the ASX, subject to all applicable approvals. Each CDI represents a beneficial interest in one ordinary listed share in Ramsay Santé.
